MOTUS Terms & Conditions

These Terms & Conditions (“Terms”) govern your use of services arranged, coordinated, booked, or otherwise facilitated by MOTUS Holdings, LLC, doing business as MOTUS (“MOTUS,” “we,” “us,” or “our”).
By requesting, booking, authorizing, paying for, or using any service arranged by MOTUS, you agree to these Terms. If you are booking on behalf of another person, passenger, traveler, guest, company, group, or end client, you represent that you have authority to accept these Terms on their behalf and that you are responsible for making them aware of these Terms and any applicable Supplier terms.
1. MOTUS’s Role
MOTUS is a luxury travel concierge and logistics company. We assist clients with arranging, coordinating, and facilitating services that may include, without limitation:

ground transportation;
-
chauffeured services;
-
airport, customs, meet-and-greet, and VIP services;
-
private aviation arrangements;
-
yacht, boat, and marine services;
-
tours, guides, excursions, and experiences;
-
event, hospitality, and destination logistics;
-
accessibility support;
-
security coordination;
-
travel navigation and itinerary support;
-
other concierge, travel, and lifestyle services.
Unless expressly stated in writing, MOTUS does not own, operate, control, maintain, insure, pilot, captain, drive, staff, guide, manage, or provide the underlying vehicles, aircraft, vessels, venues, equipment, personnel, or supplier services.
MOTUS acts as an arranger, coordinator, concierge, booking facilitator, or intermediary between the client and independent third-party suppliers.
2. Independent Third-Party Suppliers
Services arranged by MOTUS are typically performed by independent third-party suppliers, vendors, operators, carriers, brokers, guides, venues, contractors, or service providers (“Suppliers”).
Suppliers may include, without limitation:

transportation companies;
-
chauffeurs and drivers;
-
aircraft operators;
-
air charter brokers;
-
vessel owners, yacht operators, captains, and crew;
-
tour operators and guides;
-
airport service providers;
-
security providers;
-
accessibility providers;
-
hospitality providers;
-
event providers;
-
local destination partners;
-
other independent service providers.
Suppliers are not employees, agents, partners, joint venturers, or representatives of MOTUS unless expressly stated in a written agreement signed by MOTUS.
MOTUS is not responsible for the acts, omissions, negligence, misconduct, delays, cancellations, failures, representations, equipment, staffing, licensing, insurance, safety practices, or operational decisions of any Supplier.
3. Supplier Terms Apply
Many services are subject to the Supplier’s own terms, conditions, tariffs, contracts, waivers, cancellation policies, passenger rules, safety rules, luggage limits, payment terms, and operational requirements.
By booking or using a service arranged by MOTUS, you agree to comply with all applicable Supplier terms, whether provided directly by the Supplier, provided by MOTUS, referenced in a quote, attached to a confirmation, or otherwise made available to you.
In the event of a conflict between these Terms and a Supplier’s operational or safety rules, the Supplier’s operational and safety rules may control.
4. Client Responsibility for Accurate Information
You are responsible for providing complete and accurate information necessary to arrange and perform the requested services, including, as applicable:

passenger names;
-
contact information;
-
pickup and drop-off locations;
-
dates and times;
-
flight, train, vessel, or itinerary details;
-
passport, visa, customs, or immigration information;
-
luggage details;
-
mobility, medical, accessibility, or special assistance needs;
-
number of passengers;
-
age of passengers, including children;
-
payment information;
-
service preferences;
-
any other information reasonably needed for the booking.
MOTUS is not responsible for delays, missed services, cancellations, additional charges, denied service, or other issues caused by inaccurate, incomplete, delayed, or omitted information provided by you or on your behalf.
You are responsible for reviewing all quotes, confirmations, itineraries, passenger details, dates, times, locations, cancellation terms, and Supplier terms promptly and notifying MOTUS immediately of any error.
5. Quotes, Availability, and Confirmations
Quotes are based on information available at the time they are issued. Unless expressly stated in writing, quotes are not guaranteed until accepted, payment terms are satisfied, and the applicable Supplier confirms availability.
Availability, pricing, vehicle type, aircraft type, vessel type, staffing, routing, schedules, and Supplier participation may change before confirmation.
A booking is not confirmed until MOTUS or the applicable Supplier issues a written confirmation.
MOTUS may decline, modify, or cancel a request if the requested service is unavailable, unsafe, unlawful, impractical, incorrectly priced, outside Supplier capability, or otherwise unsuitable.
6. Payments, Deposits, and Fees
You agree to pay all amounts associated with services requested, authorized, booked, or used by you or on your behalf, including:

Supplier charges;
-
MOTUS service fees;
-
planning or concierge fees;
-
booking fees;
-
deposits;
-
cancellation fees;
-
waiting time;
-
overtime;
-
fuel charges;
-
tolls;
-
parking;
-
dockage;
-
crew charges;
-
catering;
-
permit fees;
-
airport fees;
-
customs or handling fees;
-
taxes;
-
gratuities, where applicable;
-
damage charges;
-
cleaning fees;
-
administrative fees;
-
other pass-through or incidental charges.
Some fees may be non-refundable once work has begun, a Supplier has been engaged, or a booking has been confirmed.
Unless otherwise stated, all amounts are due in U.S. dollars.
You authorize MOTUS to charge the payment method provided for confirmed services, approved deposits, cancellation charges, Supplier charges, additional charges, and any other amounts due under these Terms.
7. Cancellations, Changes, and Refunds
Cancellation and change policies vary by service and Supplier. Some services may be fully non-refundable once booked.
You are responsible for any cancellation charges, change fees, non-refundable deposits, Supplier penalties, and other costs imposed by Suppliers or incurred by MOTUS on your behalf.
For certain services, refunds may depend on whether the Supplier provides a refund to MOTUS. MOTUS is not required to refund amounts that have been paid or committed to a Supplier unless MOTUS receives a corresponding refund or credit from the Supplier, except where otherwise required by law or expressly agreed in writing.
MOTUS service fees, planning fees, coordination fees, and administrative fees may be non-refundable, even if a Supplier service is canceled, delayed, modified, or unused.
Changes to a confirmed booking are subject to availability and may result in additional charges.
8. Chargebacks and Payment Disputes
If you dispute a charge, you agree to contact MOTUS first and allow us a reasonable opportunity to resolve the issue.
You agree not to initiate a chargeback for amounts that were authorized, non-refundable, subject to Supplier cancellation terms, or incurred on your behalf.
If you initiate an improper chargeback, you remain responsible for the disputed amount, any chargeback fees, collection costs, and reasonable attorneys’ fees incurred by MOTUS.
9. Ground Transportation Services
Ground transportation services may be provided by independent transportation companies, chauffeurs, drivers, fleet operators, affiliates, or other Suppliers.
MOTUS does not own, operate, maintain, insure, or control the vehicles or drivers unless expressly stated in writing.
Vehicle categories, models, makes, colors, amenities, and configurations are not guaranteed unless expressly confirmed in writing. A comparable or upgraded vehicle may be substituted when necessary or appropriate.
Clients and passengers are responsible for:

being ready at the scheduled pickup time;
-
providing accurate pickup and drop-off information;
-
complying with passenger limits and luggage capacity;
-
wearing seat belts where required;
-
ensuring proper child seats or restraints where required unless expressly arranged;
-
behaving safely and respectfully;
-
avoiding damage to vehicles;
-
complying with driver or Supplier safety instructions.
Suppliers may refuse or terminate service if a passenger is unsafe, abusive, intoxicated, disruptive, unlawful, or otherwise presents a risk to people, property, or the service.
Additional charges may apply for waiting time, extra stops, route changes, cleaning, damage, parking, tolls, overtime, or service extensions.
10. Private Aviation Services
MOTUS may assist clients in sourcing, coordinating, or arranging private aviation services through independent aviation Suppliers, which may include air charter brokers, direct air carriers, aircraft operators, or other aviation service providers.
Unless expressly stated in writing, MOTUS is not an aircraft operator, direct air carrier, indirect air carrier, owner, pilot, flight crew employer, or entity exercising operational control over any aircraft.
All flights are subject to the terms, conditions, rules, safety standards, operational control, and availability of the applicable aviation Supplier and aircraft operator.
The aircraft operator, not MOTUS, is responsible for:

aircraft operation;
-
pilots and crew;
-
maintenance;
-
safety decisions;
-
flight routing;
-
weather decisions;
-
regulatory compliance;
-
aircraft insurance;
-
passenger acceptance;
-
baggage limitations;
-
operational delays;
-
substitutions;
-
cancellations for safety, mechanical, weather, or regulatory reasons.
Aircraft availability, aircraft type, departure times, routing, airport access, landing rights, slots, customs clearance, catering, deicing, fuel, repositioning, and other aviation-related details may change.
Additional charges may apply for deicing, catering, ground handling, international fees, customs, airport changes, repositioning, crew duty limitations, passenger changes, delays, and other operational factors.
Clients are responsible for providing accurate passenger information, identification, passport details, luggage details, and any required travel documents.
MOTUS may provide aviation-related disclosures, Supplier information, cost information, or insurance information where applicable and available. MOTUS does not guarantee the adequacy, scope, applicability, or collectability of any aviation Supplier’s insurance.
11. Yacht, Boat, and Marine Services
MOTUS may assist clients in sourcing, coordinating, or arranging yacht, boat, tender, water transfer, cruise, marine excursion, or other vessel-related services through independent marine Suppliers.
Unless expressly stated in writing, MOTUS is not a vessel owner, vessel operator, charter operator, captain, crew employer, marina, ship manager, or entity exercising operational control over any vessel.
The applicable vessel owner, operator, captain, crew, or marine Supplier is responsible for:

vessel operation;
-
captain and crew;
-
passenger capacity;
-
vessel condition;
-
safety decisions;
-
routing;
-
weather decisions;
-
docking;
-
tender operation;
-
water activity rules;
-
equipment;
-
licensing;
-
permits;
-
marine insurance;
-
compliance with applicable laws and regulations.
The captain or vessel operator has final authority over all safety and operational decisions, including whether to depart, return, reroute, delay, cancel, restrict swimming, restrict water toys, restrict alcohol, restrict passenger movement, or modify the itinerary due to weather, sea conditions, mechanical issues, passenger behavior, safety concerns, or legal requirements.
Marine services may involve inherent risks, including but not limited to movement of the vessel, weather, waves, slips and falls, boarding and disembarking risks, swimming risks, tender risks, equipment risks, alcohol-related risks, and remote emergency-response limitations.
Clients and passengers agree to comply with all captain, crew, marina, and Supplier instructions.
Additional charges may apply for fuel, dockage, crew, gratuities, catering, beverages, permits, tenders, water toys, overtime, cleaning, damages, itinerary changes, provisioning, and other marine-related expenses.
MOTUS does not guarantee the existence, adequacy, scope, applicability, or collectability of any marine Supplier’s insurance.
12. Tours, Guides, Experiences, and Activities
MOTUS may assist clients with arranging tours, guides, excursions, experiences, event logistics, hospitality services, destination activities, and other curated services through independent Suppliers.
Such services may involve risks, restrictions, physical activity, weather, crowds, alcohol, third-party venues, transportation, uneven surfaces, water, animals, equipment, or other hazards.
The applicable Supplier is responsible for performing the service, staffing, guide conduct, equipment, licensing, safety rules, venue access, and operational decisions.
Clients and participants are responsible for determining whether an activity is appropriate for their health, mobility, age, skill level, medical condition, and risk tolerance.
Suppliers may require separate waivers, releases, rules, or acknowledgements as a condition of participation.
MOTUS is not responsible for injury, loss, delay, dissatisfaction, denial of entry, event cancellation, venue restrictions, guide conduct, or other Supplier acts or omissions.
13. Airport, Customs, Meet-and-Greet, and VIP Services
MOTUS may assist with airport, customs, immigration, meet-and-greet, expedited assistance, lounge access, porter, greeter, escort, VIP, or related services through independent Suppliers.
Such services are subject to airport rules, government authority, customs and immigration requirements, security procedures, airline policies, staffing availability, and Supplier terms.
MOTUS cannot guarantee expedited processing, admission, clearance, boarding, lounge access, avoidance of screening, or any outcome controlled by a government agency, airport, airline, security authority, or other third party.
Clients are responsible for valid passports, visas, travel authorizations, health documents, entry requirements, and compliance with all applicable laws.
14. Travel Navigation and Concierge Support
MOTUS may provide planning, coordination, monitoring, itinerary support, recommendations, logistics assistance, and concierge services.
MOTUS may use commercially reasonable efforts to assist with disruptions, changes, delays, or special requests, but MOTUS does not guarantee that any disruption can be avoided, corrected, or resolved.
Recommendations are based on information available at the time and may be affected by Supplier availability, operating conditions, laws, local conditions, weather, pricing, or client preferences.
MOTUS is not responsible for third-party information, Supplier representations, government actions, airline decisions, weather, force majeure events, or other circumstances outside MOTUS’s reasonable control.
15. Travel Advisors, Agents, White-Label, and Third-Party Bookings
If a travel advisor, travel agent, concierge, company, family office, assistant, planner, or other third party books services through MOTUS on behalf of an end client or passenger, that person or entity represents that they have authority to do so.
The booking party is responsible for:
-
providing accurate client and passenger information;
-
communicating these Terms and applicable Supplier terms to the end client;
-
obtaining required approvals and authorizations;
-
ensuring payment;
-
communicating cancellation policies and service limitations;
-
promptly relaying confirmations, changes, and operational information.
White-label, commission, referral, or partner arrangements are subject to separate written agreements. No commission, referral fee, markup, exclusivity, non-solicitation, white-label, or ownership right exists unless agreed in writing by MOTUS.
16. Supplier Insurance, Licensing, and Compliance
MOTUS may request or review evidence of Supplier insurance, licensing, permits, registrations, safety standards, or compliance documentation where appropriate.
However, MOTUS does not guarantee:
-
that any Supplier is properly licensed or insured;
-
that any Supplier insurance is valid, sufficient, applicable, collectible, or responsive to a particular claim;
-
that any Supplier will maintain insurance after documentation is provided;
-
that any Supplier meets all legal or regulatory requirements in every jurisdiction;
-
that any Supplier’s insurance will name MOTUS or the client as an insured.
Suppliers remain solely responsible for their own insurance, licensing, permits, staffing, operations, safety, compliance, and legal obligations.
17. Client Conduct
Clients and passengers must behave safely, lawfully, and respectfully toward Suppliers, MOTUS personnel, other passengers, property, vehicles, vessels, aircraft, venues, equipment, and third parties.
MOTUS or a Supplier may refuse, suspend, or terminate service without refund if a client or passenger:
-
behaves abusively, dangerously, unlawfully, or disruptively;
-
appears intoxicated or impaired;
-
threatens people or property;
-
refuses to comply with safety instructions;
-
exceeds passenger or luggage limits;
-
attempts to bring prohibited items;
-
damages property;
-
violates Supplier rules;
-
creates a safety, legal, reputational, or operational concern.
Clients are responsible for damage, cleaning costs, losses, fines, penalties, or expenses caused by themselves, their guests, passengers, invitees, or end clients.
18. Luggage, Personal Property, and Valuables
Clients are responsible for their own luggage, personal belongings, valuables, documents, electronics, jewelry, cash, and other property.
MOTUS is not responsible for lost, stolen, damaged, delayed, or misplaced property unless caused by MOTUS’s own proven gross negligence or willful misconduct.
Suppliers may impose luggage limits, weight limits, storage restrictions, prohibited item rules, and safety requirements.
19. Accessibility, Medical, and Special Assistance Needs
Clients must notify MOTUS in advance of any accessibility, medical, mobility, dietary, sensory, child safety, or special assistance needs.
MOTUS will use commercially reasonable efforts to communicate such needs to Suppliers or assist in sourcing appropriate services, but MOTUS does not guarantee that every Supplier, vehicle, aircraft, vessel, venue, guide, or destination can accommodate all needs.
Clients are responsible for determining whether a service is appropriate for their health, mobility, medical condition, or personal circumstances.
MOTUS does not provide medical advice, medical care, personal care, or emergency medical services.
20. Assumption of Risk
Certain services arranged by MOTUS may involve inherent risks, including but not limited to transportation risks, aviation risks, marine risks, weather risks, physical activity risks, crowd risks, alcohol-related risks, international travel risks, health risks, property risks, and risks associated with independent third-party Suppliers.
By booking or participating in such services, you voluntarily assume the risks associated with the service, except to the extent caused by MOTUS’s own proven gross negligence or willful misconduct.
21. Force Majeure
MOTUS is not liable for delay, cancellation, failure to perform, additional cost, or service disruption caused by events beyond its reasonable control, including but not limited to:

weather;
-
natural disasters;
-
mechanical issues;
-
aircraft or vessel unavailability;
-
road closures;
-
traffic;
-
labor disputes;
-
strikes;
-
government action;
-
customs or immigration delays;
-
security restrictions;
-
war;
-
terrorism;
-
civil unrest;
-
public health events;
-
supplier failure;
-
technology outages;
-
communication failures;
-
utility failures;
-
accidents;
-
emergencies;
-
acts of God;
-
other events beyond MOTUS’s reasonable control.
In such cases, MOTUS may assist with alternative arrangements where reasonably possible, subject to availability and additional cost.
22. No Guarantee of Outcome
MOTUS may use commercially reasonable efforts to arrange, coordinate, monitor, support, or assist with services. However, MOTUS does not guarantee:

Supplier availability;
-
specific vehicles, aircraft, vessels, guides, crew, drivers, or personnel;
-
uninterrupted service;
-
avoidance of delays;
-
admission to events or venues;
-
customs or immigration outcomes;
-
weather conditions;
-
travel times;
-
aircraft or vessel departure times;
-
Supplier performance;
-
client satisfaction with a Supplier;
-
specific results from concierge, travel, or logistics support.
23. Limitation of Liability
To the maximum extent permitted by law, MOTUS shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, emotional distress, lost profit, lost business, loss of enjoyment, loss of opportunity, or similar damages, even if MOTUS was advised of the possibility of such damages.
To the maximum extent permitted by law, MOTUS is not liable for the acts, omissions, negligence, misconduct, representations, delays, cancellations, failures, safety decisions, operational decisions, equipment, personnel, insurance, licensing, or performance of any independent Supplier.
To the maximum extent permitted by law, MOTUS’s total liability for any claim arising out of or relating to services shall not exceed the amount of fees actually paid to MOTUS for the specific service giving rise to the claim, excluding amounts paid or payable to Suppliers.
Nothing in these Terms limits liability where such limitation is prohibited by law.
24. Indemnification
You agree to indemnify, defend, and hold harmless MOTUS, its owners, members, managers, officers, employees, contractors, representatives, affiliates, and agents from and against any claims, demands, damages, losses, liabilities, penalties, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

your breach of these Terms;
-
inaccurate or incomplete information provided by you or on your behalf;
-
your conduct or the conduct of your guests, passengers, invitees, or end clients;
-
damage to property;
-
personal injury caused by you or your guests;
-
violation of Supplier terms;
-
violation of law;
-
payment disputes or chargebacks;
-
bookings made on behalf of another person without proper authority.
25. Website, Marketing, and Communications
Information on MOTUS’s website, proposals, emails, text messages, marketing materials, itineraries, and communications is provided for general informational and service-coordination purposes.
Descriptions of services, Suppliers, destinations, amenities, capabilities, or experiences are not guarantees unless expressly confirmed in writing by MOTUS and the applicable Supplier.
MOTUS may communicate by email, phone, SMS, messaging apps, or other electronic means. You consent to receive service-related communications through such channels.
26. Privacy and Client Information
MOTUS may collect, use, store, and share client information as reasonably necessary to arrange, coordinate, confirm, support, and perform requested services.
Client information may be shared with Suppliers, payment processors, advisors, travel partners, airport service providers, aviation providers, marine providers, government authorities, or other parties as necessary for the requested service.
Sensitive information should only be provided through channels approved by MOTUS. MOTUS is not responsible for the security of information transmitted through channels selected or used by the client outside MOTUS’s recommended process.
Additional privacy terms may be provided in MOTUS’s Privacy Policy, if applicable.
27. Intellectual Property and Brand Use
MOTUS’s name, logo, website content, marketing materials, service descriptions, processes, designs, and related intellectual property belong to MOTUS or its licensors.
No person may use MOTUS’s name, logo, brand, materials, or content without prior written permission.
White-label or partner use of MOTUS services, materials, or communications must be governed by a separate written agreement.
28. Governing Law
These Terms and any dispute arising out of or relating to these Terms or MOTUS services shall be governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles.
29. Severability
If any provision of these Terms is found invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect.
30. Assignment
You may not assign or transfer your rights or obligations under these Terms without MOTUS’s prior written consent.
MOTUS may assign or transfer its rights or obligations in connection with a merger, acquisition, restructuring, sale of assets, change of control, or operation of law.
31. Changes to These Terms
MOTUS may update these Terms from time to time. The version in effect at the time of booking will generally apply to that booking, unless otherwise required by law or agreed in writing.
Continued use of MOTUS services after updated Terms are posted or provided constitutes acceptance of the updated Terms.
32. Entire Agreement
These Terms, together with any applicable quote, confirmation, invoice, Supplier terms, written agreement, or signed authorization, constitute the entire agreement between you and MOTUS regarding the applicable services.
If there is a conflict between these Terms and a written agreement signed by MOTUS, the signed written agreement controls.
